It means FCP will not be able to import the project because the media for it is missing.

You need to make sure that all the media in your FCP7 project are online before exporting your XML from FCP7. This means that when you open your FCP7 sequence you should see every clip play and not have any red "Media Offline" warnings on your Timeline. Otherwise the missing media will not be included in your XML and you will get this warning.
